Terms of Use for Contributors
Applicable as of 8 August 2024
- General
These Terms of Use (hereinafter the Terms) regulate the service provided by Programmable Equity OÜ, registry code 16320994, address: Kristjani road 4, 74015, Harju county, Estonia, hereinafter “we”, “us”, “our” or “KOOS”.
Our services include all services that are available on the website of KOOS at www.koos.io as well as all additional services that KOOS may provide (hereinafter KOOS services).
Please read the following Terms carefully before you start using KOOS services. By using KOOS services you certify that you consent to the Terms, are in case of a natural person (private individual) at least 18 years old and with active legal capacity; in case of a legal person a lawful representative of the contributor and at least 18 years old and with active legal capacity. You do not have the right to use the KOOS services if you do not agree with the Terms. KOOS’s privacy policy forms a part of these Terms.
You are granted a non-exclusive, revocable, non-sublicensable and non-transferable right (license) to access (including to download the mobile application) and use KOOS Service for the purposes described below. To the fullest extent permitted under the applicable law, KOOS Environment is provided on an “as is” and “as available” basis. We may update, improve, or change KOOS Environment, including add and remove features, at any time.
KOOS reserves the right to unilaterally amend the Terms. Amendments will enter into force when posted on www.koos.io. Using the KOOS services after amendment of the terms is considered as consenting to the amended terms. Thus, it is advisable to check the Terms and privacy policy of KOOS in order to stay informed of possible amendments.
In case these Terms are published also in a language other than English and there is any discrepancy or conflict between the English version and the version in another language, then the English language version shall prevail.
- Definitions
- Terms - Terms that regulate the use of the services provided by Programmable Equity OÜ.
- KOOS Service - website https://koos.io/, its subdomains (the “Website”) and the KOOS solution, including the software, databases, interfaces, mobile application, associated media, documentation, updates, new releases and other components or materials incorporated therein or integrated therewith (hereinafter collectively the “Platform”). Through the Platform, we provide software and solutions to help companies and other organisations (the “Issuer”) to receive useful business-related input and actions (the “Contributions”) by enabling the Issuers to detect, attract, engage, motivate, reward, and collaborate with external individuals around their businesses (the “Recipients”, the “Contributors”, “you”.
- Issuer - person or entity that uses KOOS service to request and receive business-related input and actions from Contributors.
- Contributor - person who uses KOOS’s service to provide business-related input and actions to Issuers.
- Users - the Issuer and the Contributor.
- Contribution - useful business-related input and actions predefined by the Issuer and provided by the Contributor.
- Platform - website https://koos.io/, its subdomains and the KOOS solution, including the software, databases, interfaces, mobile application, associated media, documentation, updates, new releases and other components or materials incorporated therein or integrated therewith.
- Substance of KOOS service
- KOOS service provides a communication platform for Issuers and Contributors.
- KOOS does not enter into a contractual relationship with the Contributor for the provision of the Service.
- The Issuer uses the Platform to publish a request for business-related input or actions, along with the offered terms, and invites potential Contributors to participate. The remuneration specified in the offer is gross remuneration.
- The Contributor selects the Issuer's offer and agrees to provide the business-related input or actions described, following the terms and instructions set by the Issuer.
- The Contributor provides the Contribution to the Issuer. The Contribution is accepted when the Issuer decides to reward the Contributor according to the terms set, published, and agreed upon in advance. The Issuer has the right not to reward the Contribution if it does not meet the predefined requirements.
- KOOS will remunerate the Contributor for the contributions within 5 calendar days after the Issuer has accepted and rewarded the Contribution and the Contributor has completed necessary actions indicated in the KOOS platform.
- By becoming a Contributor and having your Contribution accepted and rewarded, you may become subject to tax obligations which existence and scope may depend on your tax residency. You authorize KOOS to withhold and pay the taxes and contributions payable on the remuneration. If for some reason we are not able to take mentioned actions, you shall be responsible for the performance of such obligations and we do not have any obligations in respect thereof. KOOS is not responsible for providing tax advice, and Contributors are advised to seek independent tax advice to understand their obligations. If, in connection with any payment made to you under these Terms or otherwise in connection with the contributions, we or any of our affiliated companies becomes liable for any taxes, (a) a sum equal to such tax liability shall be withheld from any payment made to you under these Terms or (b) you must compensate us or our relevant affiliated company a sum equal to such tax liability immediately upon the receipt of notice that specifies the amount of such liability.
- These Terms, and any other related agreements do not jointly or separately create an agency, employment, or any similar relationship between you, KOOS, or any Issuer. You, KOOS, and any Issuer are all independent parties acting within their own legal capacity and economic activity.
- KOOS is not a bank or other financial institution, nor do we have partnerships with financial institutions. We do not offer funding or provide any financial products or services to Issuers, Contributors, or any third party.
- Warranties, responsibilities, prohibitions
- It is prohibited to give false information to us. KOOS assumes that the data submitted by the Contributor is correct.
- The Contributor warrants that:
- in case of a natural person (private individual), the contributor is at least 18 years old and with active legal capacity; in case of a legal person, the person accepting these Terms is a lawful representative of the contributor and at least 18 years old and with active legal capacity;
- the purpose of the Service provided by KOOS is to offer a communication platform for Issuers and Contributors;
- the Contributor is responsible for any damage caused during or because of using the KOOS service;
- KOOS pays the Contributor remuneration for the contribution, and the Contributor is entitled to the remuneration after they have made the Contribution and it has been accepted and rewarded by the Issuer; payment of the remuneration by KOOS does not make KOOS the Issuer with regard to the Contributor;
- KOOS does not give the Contributor any instructions for the Contribution and does not supervise the process of completing the Contribution;
- The Contributor agrees not to disclose, transmit or post to KOOS any wrong, misleading or incorrect information and undertakes to use KOOS Service for the intended purpose.
- We may suspend your access to KOOS Platform without prior notice (a) upon the request from the Issuer (b) if you have materially breached these Terms or have not remedied any breach within the reasonable cure-period (c) we have a reasonable suspicion of fraud or inappropriate activity and/or (d) this is necessary to ensure the security of KOOS Platform and/or other users of the KOOS Platform. We may discontinue the availability of the mobile application at any time without prior notice.
- You acknowledge that the mobile application may have less functionalities available when compared to the website version of the KOOS Platform. Also, the availability for downloading or using the mobile application may be restricted by us or the operator of the respective operation system based on your geographical location, the operating system version of the mobile device or other parameters.
- You acknowledge that we and/or our licensors and/or cooperation partners own all intellectual property rights in KOOS Platform. You are not granted any intellectual property rights or other rights in respect of KOOS Platform.
- As a Contributor, you agree to the following responsibilities:
- Provide accurate information. Ensure that all information you provide to KOOS and Issuers is truthful, accurate, and up-to-date.
- Follow issuer instructions. Adhere to the specific terms, conditions, and instructions provided by the Issuer when fulfilling contributions.
- Maintain confidentiality. Keep all proprietary or confidential information you receive during the course of your contributions private, unless required by law to disclose it.
- Compliance with laws. Ensure that your actions on the Platform comply with all applicable local, national, and international laws and regulations.
- Fulfill tax obligations. Understand and fulfill your tax obligations related to any remuneration received through the Platform, seeking independent tax advice if necessary.
- Limitation of liability
- KOOS is not liable for the accuracy of any data, terms, or content provided by the Issuer in their request for business-related input or actions.
- KOOS is not liable if the Contributor submits incorrect account details.
- KOOS is not liable for the damage suffered by the Contributor in relations with the Issuer.
- As a user of KOOS Service, the Contributor is solely responsible for all activities under their account.
- Privacy and personal data
KOOS` privacy policy is defined here.
- Governing law. Resolution of disputes
- These Terms and duties and obligations arising from or related to them are governed by the legislation of the Republic of Estonia.
- Any and all disputes arising from or related to the Terms will be settled by the parties by way of negotiations. Failing agreement, the parties have the right to refer the dispute to Harju County Court in accordance with the legislation in force in the Republic of Estonia.
